Recently, many of you may have seen a notice posted on the Marbury Water Accountability Facebook page that was designed by some of our members. Their notice included a proposed “amended and restated” set of bylaws for Marbury Water System while advising members that these proposed bylaws would be voted on at the upcoming board meeting in October 2026.
The current Bylaws provide in Article XIII, AMENDMENTS:
“Section 1: These by-laws may be repealed or amended by a vote of a majority of the members present at any regular meeting of the corporation, or any special meeting of the corporation called for that purpose….”
A meeting of the corporation refers to the annual meeting of members; therefore, the proposed set of bylaws will not be voted on at the regular October 19 Board of Directors’ meeting.
MEMBER ATTENDANCE AT BOARD MEETINGS
Quarterly meetings of the Board of Directors are meetings conducted by the Board to carry out the business and responsibilities of the Corporation. The Bylaws do not provide for member attendance or participation at regular quarterly meetings of the Board. Nevertheless, the Board has traditionally welcomed members to attend a designated portion of these meetings and has provided an opportunity for members to ask questions and share concerns directly with the Board. This has been done as a courtesy to our membership and as a way to encourage open communication between the Board and the customers we serve. The Board’s willingness to provide this opportunity at its regular meetings does not change the distinction between a meeting of the Board of Directors and the Annual Meeting of the members. The Annual Meeting is the meeting specifically provided for the membership to conduct the business of the Corporation as set forth in the Bylaws.
October 19 Quarterly Board of Directors Meeting
The quarterly Board of Director’s meeting will take place at the Marbury Water office on Monday, October 19, 2026, at 5:00 p.m. As with the July meeting, space will be available for up to 20 members. Members wishing to attend may contact the office to request attendance. The sign-up list will close at 4:00 p.m. on Thursday, October 15, 2026. Members who wish to present questions or points to the Board should submit them by that deadline so that the Board can be prepared to address them. Members who have not signed up in advance will not be permitted to attend the October 19 meeting. Once the members’ questions and comments have been addressed, they will be excused so that the Board may conduct the remainder of its business.
